Your role at Clorox:
Reporting to the Vice President – Associate General Counsel and Assistant Corporate Secretary, this role supports M&A, divestitures, joint ventures and other key corporate transactions, and provides strategic legal counsel to Corporate Development team. The role will also include providing legal support in connection with other corporate legal matters, which may include SEC reporting, investor relations matters, financing transactions, tax and treasury matters, corporate governance and stockholder engagement matters.
In this role, you will:
Partner with Corporate Development and manage cross-functional legal experts to execute M&A and other corporate transactions effectively and efficiently.
Lead all legal aspects of transactions, including advising senior executives on complex and high value risk matters, drafting term sheets and other preliminary documentation, managing deal processes, coordinating due diligence reviews, collaborating with cross functional transaction teams and drafting and negotiating deal documentation, assisting on regulatory filings, closing deals and managing post-closing integration and disputes.
Support corporate governance activities related to M&A and other strategic transactions.
Ensure superior knowledge management and continuous improvement of M&A and other corporate playbooks.
Stay up-to-date on legal developments and network effectively to share subject matter expertise across a broad cross-section of the Company.
Additional Responsibilities
Advise global cross-functional teams, including accounting, corporate development, investor relations, corporate communications and other legal specializations on a wide range of corporate issues and legal projects, as needed.
Assist in other substantive legal areas, as needed.
Work with members of Legal leadership, other attorneys, and staff on departmental matters.
Manage outside counsel and supervise more junior team members, as needed.
What we look for:
10+ years of experience as a practicing attorney, with experience in a top tier law firm (ideally with at least some in-house experience).
Extensive experience with M&A and other corporate transactions.
Knowledge and interest in broad areas of corporate and transactional matters, including disclosure and reporting, corporate governance, investments, and financings.
Outstanding judgment and ability to understand the priority and urgency of issues and prioritize them as appropriate within a fast-paced environment; ability to handle sensitive and confidential information.
Ability to take a pragmatic approach to issues, applying smart risk-taking principles when balancing legal risks against business interests.
Strong negotiation, consultative and facilitation skills with the ability to effectively interact with and influence all internal and external stakeholders; firmness and courage to confront issues at every level.
Excellent interpersonal, verbal and written communication, negotiation, and presentation skills.
Unquestioned personal integrity; seen as a role model for ethical principles and values of the Company.
Ability to counsel, influence and instill confidence in executives and employees at all levels. Ability to work well in a matrixed organization and interact with and command respect from Company employees including senior management.
Key Qualifications
JD degree; top tier undergraduate and law schools
Member of the California State Bar (or registered in-house counsel)

Based on the breadth of our ranges, most new hires will start at Clorox in the first half of the range. Your starting pay will depend on job-related factors, including relevant skills, knowledge, experience, and location.
–Salary Range: $182,200 - $382,500
Ranges are subject to change in the future. This job is also eligible for participation in Clorox’s incentive plans, subject to the terms of the applicable plan documents and policies.
